Terms of Service

1. Services Offered

PrimeWorks Digital provides digital services including but not limited to Web Development, Mobile Application Development, ERP/Custom Software Solutions, UI/UX Design, and Cybersecurity/Penetration Testing. Specific deliverables, timelines, and costs will be outlined in a separate Statement of Work (SOW) or Project Proposal.

2. Client Responsibilities

• Timely Feedback: You agree to provide necessary assets, approvals, and feedback in a timely manner to avoid project delays.
• Lawful Use: You agree not to use our services for any illegal activities or to host malicious/copyright-infringing content.
• Credentials: If you provide access to your servers or accounts, you are responsible for keeping backups of your data. We are not liable for pre-existing data loss.

3. Payments and Billing

All projects require a milestone-based payment structure as outlined in the project agreement. We reserve the right to halt work or withhold final deliverables (such as source code or production deployment) until all outstanding invoices are settled in full.

5. Intellectual Property Rights

Upon full payment of the final invoice, the intellectual property rights of the custom code and designs specifically created for your project transfer to you. PrimeWorks Digital retains the right to use the completed project in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) states otherwise.

6. Limitation of Liability

To the maximum extent permitted by law, PrimeWorks Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our services or failure of software products post-deployment.
